Job Responsibilities
- Provide support for Board and Board Committee meetings, including convening, attending, and preparing draft minutes.
- Assist in the preparation for and attendance at Annual General Meetings.
- Monitor the compliance calendar, prompt clients, and manage annual statutory corporate compliance as required under the Companies Act.
- Facilitate applications for work and residence permits on behalf of clients.
- Assist in the incorporation and administration of Kenyan companies and foreign entities.
- Manage changes related to registered office locations, Board composition, beneficial ownership, Articles of Association, company names, shareholding structures, and ensure proper filings on the BRS platform, including updating statutory registers and issuing share certificates as needed.
- Support Board induction, training, and evaluations.
- Conduct governance audits.
- Provide training and mentorship to junior staff.
- Supervise the work of junior staff.
- Account for time through accurate time recording.
- Assist clients in ensuring critical business information is communicated to all directors to facilitate their fiduciary duties.
Qualifications, Experience, and Personal Qualities
The successful candidate will be a high-caliber professional with a strong commitment and ambition.
- A graduate from a recognized university, preferably with a Bachelor of Laws (LLB) or a business-related discipline, along with relevant professional qualifications.
- A minimum of six years of in-depth company secretarial experience in a busy firm or company.
- Proficient in computer applications, including MS Word, Outlook, PowerPoint, and Excel.
- Strong commercial awareness and comprehensive knowledge of corporate secretarial and governance best practices.
- Excellent understanding of corporate filing requirements and adeptness in navigating business procedures.
- Strong communication and collaboration skills.
- Flexibility and the ability to thrive in a diverse environment, along with meticulousness, enthusiasm, and dependability.
- Commitment to maintaining complete confidentiality in all business matters.
- Ability to build and maintain effective working relationships with a diverse range of individuals, both internally and externally.
